The General Counsel will be responsible for providing legal advice and support to all areas of the company, ensuring compliance with all applicable laws, and managing legal risk. This role requires a strong understanding of corporate and commercial law, as well as experience in contract drafting and negotiations.
Responsibilities
- Provide legal advice to all areas of the company on a wide range of legal issues, including contracts, corporate law, employment law, intellectual property law, and other areas as needed.
- Negotiate and draft complex commercial contracts and agreements, including licensing and service agreements.
- Manage legal risk by providing legal advice on potential exposure and providing recommendations on steps to minimize exposure.
- Conduct legal research and provide guidance on emerging legal trends and developments.
- Ensure compliance with all relevant laws and regulations, including data privacy laws and regulations.
- Represent the company in legal matters, including negotiating with outside counsel, appearing in court, and representing the company in legal proceedings.
- Manage the company's litigation and dispute resolution processes, including conducting internal investigations and representing the company in legal proceedings.
- Provide training and guidance to company employees on legal matters and ensure that legal procedures are properly followed.
- Develop and implement legal policies and procedures to ensure that the company is operating within the bounds of applicable law.
Requirements
- JD degree from an accredited law school and admission to a state bar.
- 8+ years of legal experience, with a strong background in corporate and commercial law.
- Experience in contract drafting and negotiations, and experience representing clients in legal proceedings.
- Strong understanding of corporate law and governance, including experience advising on complex legal issues related to M&A, financing, and other transactions.
- Ability to think creatively and provide practical, business-oriented solutions to complex legal problems.
- Excellent written and verbal communication skills, with the ability to communicate complex legal concepts to non-legal stakeholders.
- Strong leadership skills and the ability to work independently and as part of a team.
- Ability to manage multiple priorities and meet deadlines in a fast-paced, high-pressure environment.
