Legal Counsel, Web3 & Corporate Affairs

As the Legal Counsel specializing in Web3 & Corporate Affairs, you will serve as the organization's primary legal expert, tasked with overseeing a wide array of legal functions directly tied to our operations within the web3 space, as well as broader corporate legal affairs. This standalone, pivotal role is designed for a forward-thinking, autonomous legal professional adept at navigating the evolving landscapes of web3 technologies, corporate governance, contract law, and various regulatory environments. Your expertise will drive the legal strategy, manage risks, and support the organization's growth and innovation efforts.

Tasks and Responsibilities: 

• Provide administrative support to manage billing, legal contracts, corporate documents and other documentation.
• Contractual Expertise: Draft, review, and negotiate a variety of contracts with service providers, partners, and clients, focusing on web3-related projects and initiatives.
• External Counsel Management: Select and work closely with external legal counsel as needed, managing legal budgets and invoices efficiently.
• Corporate Governance: Lead all aspects of corporate governance, including preparing materials for board meetings, drafting resolutions, and ensuring compliance across group entities.
• Stakeholder Engagement: Liaise with board members, shareholders, and senior management to obtain necessary approvals and ensure alignment on legal strategies.
• Employment Law Support: Provide legal advice and support to the People Team on employment-related matters, including contracts, disputes, and policy development.
• Corporate Transactions: Spearhead corporate legal transactions, such as entity formation, internal reorganizations, mergers and acquisitions, and manage due diligence processes.
• Intellectual Property Management: Oversee the organization's intellectual property filings and strategy, protecting valuable assets and innovations.

The ideal candidate - who you are and requirements: 

• Bachelor or Master of Laws degree from a law school.
• Proven experience in web3, corporate law, contract law, and intellectual property rights.
• Excellent command of written and spoken English.
• Excellent legal drafting and interpretation skills.
• Strong analytical, negotiation, and communication skills.
• Ability to work independently, manage multiple priorities, and operate within a fast-paced environment.
• Familiarity with the regulatory landscape affecting web3, digital assets, and related technologies.
