๐ About The Paradigm Shifters (TPS)
We are building a next-generation public blockchain architecture powered by cutting-edge cryptography โ including Zero-Knowledge Proof (ZKP) and witness encryption. By decoupling verification from computation, our protocol unlocks massive performance gains, modular flexibility, and privacy-preserving smart contract design.
Our modular chain is purpose-built for developers โ designed to support advanced use cases in payments, AI agents, and beyond. Backed by pioneers in the blockchain space, including the Neo Foundation, a globally distributed team of blockchain pioneers, PhDs, cryptographers, and researchers/engineers. We're preparing for launch โ and looking for our brand visionary.
๐ฏ The Role
Location: Remote (United States); Type: Full-time; Start Date: ASAP
The General Counsel will serve as the first in-house legal hire and primary legal architect of TPS. This is a rare opportunity to build the entire legal foundation of a Web3 ecosystem from scratch โ including entity structuring, governance, token projects, M&A, compliance frameworks, and global IP protection.
You will decide, design and launch the global entity framework (US, Cayman, global subsidiaries), manage regulatory engagement across multiple jurisdictions, and safeguard our core innovations as we scale from launch into global adoption. This is both a strategic boardroom role and a hands-on builder role โ shaping how a blockchain company operates, grows, and protects itself worldwide.
๐ ๏ธ What Youโll Do
Web3 Project Launch & Entity Structuring
- Architect the legal framework for launching a public blockchain project, including foundations, labs, operating companies, and ecosystem vehicles.
- Establish multi-jurisdictional entities (US, Cayman, EU, Asia) with enforceable governance and compliance.
- Design token issuance and product structuring strategies aligned with global securities/tax laws.
Corporate & M&A
- Lead and advise on M&A, investments, joint ventures, and corporate reorganizations.
- Align corporate legal strategy with business goals; create scalable governance structures.
- Draft, review, and negotiate bespoke agreements for products, partnerships, and reorganizations.
Regulatory & Compliance
- Oversee global blockchain regulatory strategy, including US securities law, AML/KYC, and cross-border rules.
- Manage regulatory relationships, examinations, and audits with clarity and credibility.
- Implement internal compliance programs to proactively address regulatory risk.
IP & Commercial Agreement
- Protect and manage the companyโs global IP portfolio (patents, trademarks, licensing).
- Draft, negotiate, and manage commercial, BD, investor, and vendor agreements.
- Serve as primary legal lead for ecosystem partnerships.
Leadership & Advisory
- Act as a trusted advisor to founders, executives, and the board.
- Train and enable non-legal colleagues on legal and compliance best practices.
- Manage outside counsel effectively while keeping core expertise in-house.
โ Requirements
- J.D. or qualified lawyer in a US, UK, or other common law jurisdiction.
- 8+ years PQE (law firm + in-house, blockchain/fintech preferred).
- Proven track record launching blockchain/web3 projects with separate global entities.
- Strong M&A, corporate restructuring, and governance background.
- Deep knowledge of crypto regulation, securities law, tax structuring, and AML/KYC.
- Exceptional drafting, negotiation, and risk management skills.
- Hands-on, entrepreneurial, comfortable working in a fast-paced, founder-driven startup.
